Setting up a GmbH — the process at the notary
Notary · From the notarial recording to the commercial register
Setting up a GmbH is not possible without a notary: § 2 GmbHG requires the notarial form for the articles of association, and the registration with the commercial register also goes through the notary.
On the question of capital, a stubborn misconception persists that delays many formations unnecessarily. The Stammkapital (share capital) is indeed €25,000 – but less than that needs to be paid in for registration. § 7 Abs. 2 GmbHG requires “a quarter of the nominal value” on each share, and in total at least “half of the minimum share capital” must be reached: that is, €12,500. The remainder stays an outstanding capital contribution debt, which can later become due.
The UG (haftungsbeschränkt) (entrepreneurial company with limited liability) is not a separate legal form, but a GmbH with lower capital. Special rules apply under § 5a GmbHG: “contributions in kind are excluded”, and a quarter of the net profit must be set aside as a reserve. Once the share capital reaches €25,000, these special rules fall away – the name may be kept.
The costs are manageable and fixed by law. The Bundesnotarkammer (Federal Chamber of Notaries) states around €105 in notarial fees for a UG formation with a model protocol and around €630 for a multi-shareholder GmbH with €25,000 share capital.
